MEA Meeting
Slated For Saturday
All members of the Matanuska Electric Association are reminded of the special membership meeting which will be held in the Central School gymnasium this Saturday evening. The meeting is being called by petition of more than 10 percent of the membership for the purpose of electing three directors, voting on amendments to the Association by-laws and articles of incorporation and other business.
Names which will appear on the ballots will be those of Harold Thuma, James Hurley and C. Ivan Branton, nominated by the appointed nominating committee and Mrs. Justine Parks and R. Bruce Graham, nominated by petition.
The three nominees named by the committee are those who were elected by the membership at the April 14 annual membership meeting of the association. At the first board of directors meeting following the annual meeting, a resolution was passed by a vote of three to one that the individuals not be seated because the election held at the annual meeting was not conducted according to notices sent out prior to the meeting. These notices stated that two expiring terms will be filled. At the April 14 meeting Director Charles Wilson had offered his resignation and the membership voted for three directors, instead of the announced two. The resolution passed by the board April 23 included the acceptance of the resignation of Charles W. Wilson; Mrs. Justine Parks and R. Bruce Graham continued to hold office. The board then named James Hurley to take over the Wilson term. Hurley agreed to serve with the understanding that a special meeting would be held as soon as possible. During a special meeting of the directors held May 4 such a meeting was set for June 16. This action was later rescinded on the grounds that a tie vote had resulted. However, a petition by the membership that a special meeting be held on June 16 still stands and it is this petitioned meeting that is to be held this Saturday.
No action has yet been taken on a suit pending in District Court which was filed early in May by James Frey to show cause why the newly elected directors (Hurley, Branton, and Thuma) should not be seated. Voting will be done on the old form of ballot, it was announced this week, not on the type used at the April 14 meeting. In addition, colored cards have been

prepared that will be used in the event of voting by a show of hands. Ballots for proxy voting will be of an alternated color from those used by members present. Who will be presiding at the meeting has not yet been announced.
A request to the Court that someone be sent to the meeting to supervise and guide procedures was not granted because of limited time.
It has been reported that a number of members have requested John Rader, Anchorage attorney, to be present in an impartial capacity to do anything necessary in the interests of the members, if called upon to do so. It has not been announced whether Attorney Boyko who attended the April 14 meeting, representing Mrs. Parks, will be in attendance at the meeting.
It has been announced that the meeting Saturday night will be kept within a reasonable time limit and that it will finish at a reasonable hour. The April 14 meeting ran until after 3:00 a.m. the following morning.
